What part of that applies to Mega State University that's easy, "educational".
Now what part of that applies to Mega State University Athletic Booster Foundation? It's not educational, it may fund 300 scholarships but they comprise no more than 3% or so of the athletic department's financial activity. It foster "amateur" athletics. That's why talk of paying players in excess of cost of attendance is bull. If the players aren't amateurs the booster club loses its tax exemption.

Could the P5 get pissed and walk sure. But it just isn't likely. They want the governance balance restored they had before the WAC folded and the Big East was one of the big boys and they don't want the hoop schools and FCS undercutting their reforms over paltry sums of money.

A new college sports league is not ideal. "Last resort," Bowlsby said.
A new division that exists so that the major schools can pay their players stipends is not ideal. The p5 aren't clambering to lose money with stipends. So, what must this new division have to make it worth their while? That's where our attention needs to turn...
TV Deals? Ultimately, yes, in some manifestation...but conferences already control their money here and the haves have plenty more than have-nots.
Bowls? Nope. p5 already has a virtual monopoly over these.
CFP? Technically, they could push thee g5's access out even more...but in the grand scheme, they aren't losing too much money as it is.
March Madness? This is one place the P5 could cut out the smaller schools...$770 million split 65 ways is a lot more than split 200+ ways.
But the biggest one--and the one that is somewhat nebulous to quantify--is the "quality control" in football issue (and to a less extent basketball). The NFL, NBA, MLB all are finite quantities. They have X number of teams...and fans know they are either getting "pro" sports or not. You are in and out.
Joe Sports Fan, however, turns on the tube on a Saturday and he might be watching any one of 150 schools playing (including FCS schools in September). He could be getting a lousy Iowa team against a terrible MAC team...or he could get an elite SEC team vs. an elite PAC-12 team (thinking LSU vs. Oregon in September a few years ago). It's impossible to "know" what kind of quality he's about to get. Because of that uncertainty, TV networks pay less to all conferences because the product--while great overall and growing in popularity--isn't stellar. It's not can't-miss programming.
TV networks want to be able to slot elite games (even if it's a scrub ACC team vs. an average SEC team) in all their best TV spots. So, when Joe Sports Fan turns on the TV, he's getting an intriguing match-up of 65 finite teams (like the NFL's 32). I might know that Cincinnati vs. USF is a decent college football game...but the typical viewer will go outside and do chores or pick up groceries.
