I was just about to comment on that. Given what he's verbalized, Murdoch doesn't see this as "selling Fox" but rather more of a merger. By trading stocks instead of a cash buy-out, Murdoch still has a voice in regards to the direction of Fox assets that Disney assumes control over. How much of a say will remain to be seen, but I think Murdoch likes the idea of still having a seat at the table while not having to run the day-to-day affairs. A cash buy-out would push Murdoch out of the picture all together.

It's ALSO worth noting that Comcast originally offered somewhere in the neighborhood of $35 per share in a stock trade with Fox, while Disney ended up winning the day with an all stocks trade at only around $30 per share. They've already said no to a higher bid by Comcast to go with Disney. Fox wants to be under the Disney umbrella.
